(<a href=\"https:\/\/thestockmarketwatch.com\/stock.aspx?stock=PNR\">NYSE: PNR<\/a>)<\/strong> announced that the European Commission has cleared under the EU Merger Regulation the previously announced proposed transaction to combine the flow control business of Tyco International Ltd. with Pentair in a tax-free, all-stock merger. This clearance satisfies one of the conditions to closing of the merger, which remains subject to approval of the spin-off by Tyco shareholders, the approval of the merger by Pentair shareholders, other foreign regulatory approvals and other customary closing conditions.<\/p>\n<p>The Merger will be submitted to a vote of Pentair shareholders and the proposed distribution of Tyco Flow to Tyco shareholders (the &#8220;Distribution&#8221;) will be submitted to a vote of Tyco shareholders. On May 8, 2012, Tyco Flow filed with the <a href=\"http:\/\/www.knowfinance.com\/u-s-securities-and-exchange-commission\/\" target=\"_blank\" rel=\"noopener\">SEC<\/a> a registration statement on Form S-4, as subsequently amended, containing a preliminary proxy statement\/prospectus regarding the Merger.
